These Terms of Service (“Terms”) govern your access to and use of digispherelab.com (the “Site”) and the Digisphere Lab platform (the “Platform”) provided by Digisphere Lab (“we”, “us”, “our”). By using the Site or the Platform, you agree to be bound by these Terms.
1. The Platform
Digisphere Lab provides a hosted, multi-tenant software platform for online learning, made available on a subscription basis. The features available to you depend on the edition you subscribe to, as described on the Pricing section of the Site.
2. Use of the Site
You agree to use the Site only for lawful purposes and in a way that does not infringe the rights of others or restrict their use of the Site. You agree not to attempt to disrupt the Site’s operation or gain unauthorized access to any data.
3. Editions and pricing
Editions and prices are described on the Pricing section of the Site. Prices are exclusive of applicable taxes. We may update editions and pricing at any time; changes apply to your subscription from the start of the next billing period.
4. Trial
Where a free trial is offered, it gives access to the Platform for the stated period. Unless you subscribe before the trial ends, access to the Platform ends automatically. No fee is charged for a trial.
5. Payment
Subscription fees are billed in advance, monthly or annually depending on the billing period you select, and are non-refundable for the period already started. There is no setup or implementation fee. Late payments may result in suspension of access to the Platform.
6. Intellectual property
We retain all intellectual property rights in the Site, the Platform and all of its underlying software, including our AI content-processing and multi-tenant components. You retain all rights to your content (courses, branding, learner data), and you may export it at any time while your subscription is active.
7. Confidentiality
Each party agrees to keep confidential any non-public information disclosed by the other party and to use it only for the purpose of performing the contract.
8. Liability
To the maximum extent permitted by law, our aggregate liability under the contract is limited to the fees paid by the client in the 12 months preceding the event giving rise to the claim. We are not liable for indirect or consequential damages.
9. Termination
Either party may terminate the contract for material breach not remedied within 30 days of notice. You may cancel your subscription at any time, with effect at the end of the current billing period; fees already paid for that period are non-refundable.
10. Governing law
These Terms are governed by the laws of France, and any dispute will be submitted to the competent courts of France, unless a different jurisdiction is agreed upon in the underlying contract.
